Welcome to Minimal (SMC-PVT) LTD ("Company," "we," "us," or "our"). These Terms and Conditions govern your use of our website and your engagement with our GoHighLevel (GHL) ecosystem architecture, automation, optimization, maintenance, and technical consulting services (the "Services").

By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

2. Scope of Services

We provide specialized technical operations for digital agencies and business clients. Our services include, but are not limited to:

  • GoHighLevel (GHL) agency setup and sub-account architecture.

  • Funnel building, workflow automation, and webhook integrations.

  • Ongoing system optimization and technical troubleshooting.

    1:1 diagnostic and coaching sessions.

    All project scopes, deliverables, and timelines will be explicitly outlined in your specific service agreement, invoice, or statement of work.

3. Client Responsibilities & Delays

To ensure we can deliver our Services efficiently, you (the client) agree to:

  • Provide timely and accurate access to necessary platforms (e.g., GHL administrative access, API keys, domain registrars, and third-party software).

  • Communicate promptly regarding approvals, feedback, and necessary technical details.

  • Project Delays: If a project is stalled due to a lack of client response, failure to provide required access, or delayed feedback for more than 14 consecutive days, we reserve the right to pause the project. Resuming paused projects may be subject to a reactivation fee or timeline rescheduling based on our current capacity.

4. Payment Terms

  • Processing: All payments for our Services are securely processed through our authorized third-party payment processor, Stripe.

    Terms: Fees must be paid in accordance with the billing schedule outlined in your service agreement or invoice. Work will not commence until the required initial payment or deposit is successfully processed.

    Taxes: Unless otherwise stated, you are responsible for any applicable taxes, levies, or duties associated with your purchase.

5. Refund Policy

Because our Services involve highly customized technical labor, our refund policy is structured as follows:

  • Partial Refunds: Partial refunds are allowed only under specific conditions. If a project is cancelled after work has commenced but before completion, any refund will be prorated based strictly on the milestones achieved and the technical hours already invested by our team.

  • Completed Work & Coaching: No refunds will be provided for completed project phases, delivered digital assets, or executed 1:1 coaching and diagnostic sessions.

  • Dispute Resolution: Any requests for a partial refund must be submitted in writing to [email protected] detailing the specific reason for the request.

6. Intellectual Property (IP) Ownership

  • Client Ownership: Upon full and final payment, you (the client) will own the final, deployed product (the specific funnels, automations, and setups) residing within your specific GHL sub-account.

  • Minimal's Retained Rights: Minimal (SMC-PVT) LTD strictly retains all copyrights and intellectual property rights to our underlying frameworks, proprietary automation structures, baseline templates, and operational methodologies used to construct your final product. You are granted a license to use these underlying frameworks within your own business, but you may not resell, redistribute, or claim authorship of Minimal's core frameworks and templates.

7. Platform Limitations & Third-Party Dependencies
Our Services rely heavily on GoHighLevel (LeadConnector) and various third-party APIs (e.g., Zapier, Make, Stripe).

  • We are not liable for any loss of revenue, data, or functionality resulting from GoHighLevel platform outages, bug introductions, software updates, or API changes.

  • We are not responsible for the suspension or termination of your third-party accounts due to your violation of their respective terms of service (e.g., SMS/Email compliance violations like A2P 10DLC).

8. Limitation of Liability

To the maximum extent permitted by applicable law, Minimal (SMC-PVT) LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) our Services.

  • Any conduct or content of any third party on the Services.

  • Any unauthorized access, use, or alteration of your systems or data.

9. Governing Law and Jurisdiction

These Terms and Conditions, and any disputes arising out of or related to them or our Services, shall be governed by and construed in accordance with the laws of Lahore, Pakistan, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Lahore, Pakistan for the resolution of any legal matters.
